1. Agreement to Terms

By accessing or using BidVerdict.ai ("BidVerdict," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

BidVerdict is an AI-powered vehicle investment analysis platform that helps users evaluate whether a vehicle at auction represents a sound investment opportunity based on user-provided parameters (auction fees, taxes, desired profit margin) and AI-generated market comparisons. The Service also provides tools for vehicle listing creation, AI-enhanced photography guidance, platform-specific advertising copy generation, and vehicle history reports.

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable law

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account at [email protected].

5. Subscriptions and Payments

BidVerdict offers free and paid subscription tiers. By subscribing to a paid plan:

• You authorize us to charge your payment method on a recurring basis (monthly or annually as selected)
• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
• Refunds are not provided for partial subscription periods except where required by applicable law
• One-time purchases (e.g., VIN history reports) are non-refundable once the report has been generated and delivered
• All payments are processed by Stripe. Your payment information is subject to Stripe's Privacy Policy

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Scrape, crawl, or systematically extract data from the Service
• Reverse engineer, decompile, or attempt to extract source code
• Transmit malware, viruses, or any harmful code
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service for any fraudulent or deceptive purpose
• Interfere with or disrupt the integrity or performance of the Service
• Resell, sublicense, or commercially exploit the Service without written authorization

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of BidVerdict.ai and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. You retain ownership of any vehicle data, photos, or content you submit to the Service, but grant us a limited license to process and display that content to provide the Service.

8. Third-Party Services

The Service integrates with third-party providers including VinAudit (vehicle history data), Stripe (payments), Twilio (SMS), and Resend (email). Your use of these integrations is subject to the respective third-party terms of service. BidVerdict is not responsible for the accuracy, availability, or content of third-party data or services.

9. Limitation of Liability

To the maximum extent permitted by applicable law, BidVerdict and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of the Service or reliance on any analysis or recommendation generated by the Service, even if advised of the possibility of such damages. Our total liability to you for any claims arising from the Service shall not exceed the amount you paid to BidVerdict in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless BidVerdict and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the integrity of the Service. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us at [email protected].

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the American Arbitration Association rules, with proceedings conducted in Austin, Texas. You waive any right to participate in class-action litigation.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date and, where appropriate, by email. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
